   The Ministry of Corporate Affairs on 21st of February, 2019 announced the amendment in the Companies (Incorporation) Rule 2014 by inserting a new rule 25A which will come into force from 25th February, 2019. In view of this, the government has introduced Active Company Tagging Identities and Verification in eForm ACTIVE INC 22-A form for Geo-tagging of registered office for every Company.

 

This article will inform you about the filing of the form, the due date, the consequences of non-filing, the details to be filled in. But, before you enter the details about this form you should know what exactly is ACTIVE?

 

What is Active Company Tagging Identities and Verification?

In an attempt to augment the corporate governance, compliance is necessary. ACTIVE fulfils this attempt and at the same time eases the process of doing business. In order to keep a record of all the companies operational throughout India, all such registered companies need to provide a proof of their registered office address or location along with few other details. For such location confirmation, geo-tagging will be undertaken.

 

Geo-tagging is attaching information of the latitude and longitude of a geographical region, i.e., an office location. Thus, the exact location data of the office is provided. This will help the Registrar of the Companies know which companies are operational at a particular location and also ensure public availability of this information.

 

Who Should Fill the eForm ACTIVE INC 22 A?

All the companies registered on or before 31st December, 2017 need to fill this form before 25th April, 2019.

 

Who Should Not Fill the eForm ACTIVE INC 22 A?

Those companies which have not filed their due financial statements under section 137 or due annual returns under section 92 or both with the Registrar do not need to fill this form.

The following companies need not to fill this form :

  1. Struck off companies.
  2. Companies under the process of striking off.
  3. Companies under liquidation.
  4. Amalgamated companies.
  5. Dissolved companies.

 

What is the Due Date of Filling the Form?

Form INC-22A shall be filed on or before 25th April, 2019.

 

When will be the Form Available?

The form will be available on the website of Ministry of Corporate Affairs from 25th February, 2019.

 

Can the Company Fill the Form After the Due Date?

The company can fill the form after the due date on paying a fine of Rs. 10,000.

 

What Details Need To Be Filled In?

The form is available on the MCA website in PDF format. The form can be downloaded from the website and then filled in and submitted online. The form needs to be verified by an OTP sent to the company email id by MCA.

The following details need to be filled in the PDF form :

  1. Registered Office Name and Address
  2. Geo tagging (Latitude and Longitude of the registered office address)
  3. Photograph of Registered office showing the external view of building and inside view of building with at least one Director / KMP who has affixed his/her digital sign to the form.
  4. Email Id of Company Verified by an OTP
  5. Details of all Directors (All directors DIN KYC must be activated).
  6. Details of Statutory Auditor
  7. Details of Cost auditor, if any. (PAN, firm number, period of appointment, etc.)
  8. Details of Company Secretary, if any.
  9. Information about Annual Return and Balance Sheet filed for the year 2017-18

 

What Next on Filing the Form?

Once the form has been filled in, a challan receipt and filled form will be displayed on the MCA website. Also, the status of such company will be shown as ACTIVE-compliant. The form will also be available with the company for future records.

 

What are the Consequences of Non-filing?

If a company fails to file the eform 22A on the due date, a penalty of Rs. 10,000 will be levied on it and will be marked as ACTIVE-non-complaint. Apart from this, a company not filing the form after 26th of April, 2019 will not be able to fill the following forms :

  1. SH-07 (Change in Authorized Capital)
  2. PAS-03 (Change in Paid-up Capital)
  3. DIR- 12 (Changes in Director except cessation)
  4. INC-22 (Change in Registered Office)
  5. INC-28 (Amalgamation, de-merger)

 

If your company is operational on 31st of December, 2017, you need to fill form INC 22A to mark your status as ACTIVE with the Registrar. To avoid late fee of Rs. 10,000, you should fill the form before 25th of April, 2019.
